Smart As A Fox Mobile Messaging Referral Program
The following are the terms and conditions of participation in the SAAF Mobile Referral Program, the â€œProgram.â€ In this Agreement, â€œReferrerâ€ and â€œYouâ€ refer to yourself, and â€œSAAF Mobileâ€ and â€œWeâ€ refer to Smart As A Fox, LLC with a business address of 676 4th Street NE, Washington, DC 20002. This Agreement may be revised at our sole discretion at any time, with notification sent to the email address you used to register for the Program.
Acceptance into the SAAF Mobile Referral Program is at the sole discretion of Smart As A Fox LLC.
Definition of a New Customer
A â€œNew Customerâ€ is an entity that you have referred to SAAF Mobile (not already claimed by another Referrer) who subscribes to the Smart As A Fox Mobile Messaging solution and signs a six month or annual contract, but was never previously was a customer of SAAF Mobile.
Referrals are recorded automatically by SAAF Mobile based on the referral code thatâ€™s tracked when a prospective customer visits the SAAF Website and signs up for an account.
The prospect can enter your Referral code into the â€œReferral Codeâ€ box during â€œGet Startedâ€ account set-up. This will establish their future account as being a referral of yours.
Commission & Payments
SAAF Mobile will credit $200 in â€œReferral Feesâ€ for each new customer referral to SAAF Mobile. You can select one of the following disbursement options:
- 100% check made payable to you as an individual or a legal entity of your choosing, or
- 50% payable to you and 50% as a discount to the new customer off the initial one-time set-up fee, or
- 100% as a discount + an additional $50 discount to the new customer off the initial one-time set-up fee ($250).
Your selection of how to divide the referral fee is set when you initially sign up for the Program and will apply to all subsequent referrals. You can change your selection, but changes in the distribution will only affect future referrals, not any of the past referrals. You may change the disbursement by emailing email@example.com with the subject line: â€œSAAF Mobile Referral Program: Change Fee Allocation.â€
- You need to provide a W-9 form to receive payment. Payments will occur within 90 days following the qualification of a referral as a New Customer
- Organizations outside of the US cannot receive payments from the SAAF Mobile Referral Program. You can still participate and provide the referral discount to your referrals.
The intent of the SAAF Mobile Referral Program is to attract legitimate customers to SAAF Mobile. We strictly prohibit the referral of an entity who you know is not a legitimate prospective SAAF Mobile customer.
Terms of Agreement
This agreement remains in effect until canceled by either party, which either party can do at any time. To cancel your referral status, send an email notifying us of your cancellation to firstname.lastname@example.org with the subject line: â€œâ€œSAAF Mobile Referral Program: Cancellation.â€ Commissions earned through the date of expiration or cancellation of this agreement will remain payable so long as You have not violated this agreement.
The relationship between SAAF Mobile and Referrer established by this Agreement is that of independent contractors. SAAF Mobile and Referrer shall each conduct its respective business at its own initiative, responsibility and expense, and shall have no authority to incur any obligations on behalf of the other, except as otherwise provided herein. The term â€œReferrerâ€ shall not be interpreted as a legal partner, but instead an independent contractor for Smart As A Fox LLC under this agreement.
Representations & Warranties
You hereby represent and warrant that: (i) You will comply applicable laws or regulations (including without limitation copyright laws and anti-spam laws) in connection with Your participation in the Program and You will not use the Program for any illegal or unauthorized purpose; (ii) You will not misrepresent your relationship with SAAF Mobile to any third party and You will not make any warranty or representation on behalf of SAAF Mobile Â (including with respect to the pricing of SAAF Mobile products); and (iii) Your participation in the Program does not and will not violate any agreement between You and any third party. You agree that Smart As A Fox LLC will have no liability for your breach of the foregoing and You will indemnify and hold Smart As A Fox LLC harmless from any damages resulting therefrom. EXCEPT FOR THE FOREGOING, NEITHER PARTY MAKES ANY WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO THE PROGRAM OR ANY SERVICES SOLD THROUGH THE PROGRAM, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF FITNESS, MERCHANTABILITY OR NONINFRINGEMENT.
Limitations of Damages
Smart As A Fox LLC shall not be held liable for any indirect, incidental, special or consequential damages or any loss of revenue or profits arising under or with respect to this agreement or program. Smart As A Fox LLC aggregate liability arising under or with respect to this agreement or the program shall in no event exceed the total commissions paid or payable by Smart As A Fox LLC to Referrer under this agreement.
You shall not assign, delegate or otherwise transfer this Program or any right or obligation hereunder (whether by express transfer, the operation of law or otherwise) without the prior written consent of Smart As A Fox LLC.
The laws of Washington, D.C. and the United States shall govern this agreement.
